DISTRIBUTOR TERMS OF USE
Brand Asset Access Version 1.0
By accessing or using marketing materials ("Assets") provided by ROGUE VALLEY DOOR ("Company"), you ("Distributor") agree to the following terms:
1. Ownership
All Assets are owned by ROGUE VALLEY DOOR and protected by copyright and trademark laws. No ownership rights are transferred to you.
2. Permitted Use
You are granted a limited, non-exclusive, non-transferable, revocable license to use the Assets solely for promoting and selling ROGUE VALLEY DOOR's products to customers located in the United States. Use is permitted in print and digital media.
3. Restrictions
You may not:
- Use Assets in any manner that fails to clearly associate them with ROGUE VALLEY DOOR products and the ROGUE VALLEY DOOR brand. Assets must be clearly identified as representing ROGUE VALLEY DOOR-manufactured products through prominent placement of the ROGUE VALLEY DOOR brand name, logo, or other identifiers in immediate proximity to the Assets
- Alter Assets, except for minor resizing or format adjustments, without Company's prior written approval (email acceptable)
- Remove or obscure copyright, trademark, watermarks, metadata, or ownership notices
- Share Assets with third parties without Company's prior written approval. Approved third parties must agree to these Terms
4. Brand Standards & Monitoring
You must use Assets consistent with ROGUE VALLEY DOOR's quality standards and in a manner that does not disparage ROGUE VALLEY DOOR or damage its reputation. Company may monitor your use and request samples, access to campaigns, or compliance documentation.
5. Term & Termination
Your license ends when your business relationship with Company ends or upon Company's notice. You must immediately stop using Assets and delete or return all copies. Company may request removal or correction of any use it considers improper, and you agree to comply promptly.
6. Indemnification & Remedies
You agree to indemnify and hold harmless ROGUE VALLEY DOOR from any claims, damages, or expenses arising from your misuse of Assets or breach of these Terms. Unauthorized use may cause irreparable harm. Company reserves all legal and equitable remedies, including injunctive relief and recovery of costs and attorneys' fees.
7. Updates & Governing Law
Company may modify these Terms at any time. Continued use after notification constitutes acceptance. These Terms are governed by the laws of the State of Oregon, and disputes shall be resolved exclusively in Oregon courts.
By downloading or using Company's Assets, you confirm that you have read, understood, and agreed to these Terms of Use.
